We are Wozi Pte. Ltd. (Wozi, Company, we, us, our). These Terms and Conditions (the Terms) govern your access to and use of our websites, applications, and related products and services (the Services).

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms.

The Services are intended for users aged 16 and older. If you are at least 16 but under the age of majority in your jurisdiction, you may use the Services with parent or guardian consent.

We recommend that you print a copy of these Terms for your records.

1. Our Services

The Services are not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation or subject us to registration requirements. Those who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.

2. Intellectual Property Rights

Any breach of this section is a material breach and may result in immediate termination of your right to use the Services.

Our intellectual property

We own or are licensed to use all intellectual property rights in the Services, including software, source code, databases, designs, text, graphics, photos, audio, video, trademarks, service marks, and logos. The Content and Marks are provided AS IS for your personal, non-commercial use only.

Your use of our Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of the Content solely for personal, non-commercial use. Except as expressly permitted, you may not copy, reproduce, republish, distribute, sell, license, or otherwise exploit any part of the Services, Content, or Marks without prior written permission.

3. User Accounts

You may use basic features without creating an account. Certain features, including cross-device synchronization, require an account.

If you register an account, you agree to provide accurate and complete information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.

If you suspect unauthorized use of your account, notify us promptly at contact@wozi.app.

4. Purchases and Payments

The Services offer the following purchase options:

  • One-Time Purchases: Features or content unlocked permanently with a single payment.
  • Auto-Renewing Subscriptions: Access renews automatically at the end of each billing period until canceled through the App Store.
  • Time-Limited Passes: Access for a fixed period (e.g., 30, 90, or 180 days) that does not renew automatically.
  • All payments are processed by Apple through the App Store. Apple terms and refund policies apply.
  • Prices, features, and availability are subject to change. Taxes may be added where required by law.
  • We may correct pricing errors even after requesting or receiving payment.

5. Free Trials and Cancellation

We may offer free trials for certain subscriptions. Unless you cancel before the end of the trial, your subscription will convert to a paid subscription and your payment method will be charged according to then-current pricing.

6. Software License

If the Services include software accompanied by an end user license agreement (EULA), the EULA governs use of that software. Otherwise, we grant you a personal, revocable, non-exclusive, non-transferable license to use the software solely in connection with the Services and in accordance with these Terms.

7. Prohibited Activities

You agree not to:

  • Use the Services for unlawful purposes or in violation of applicable law.
  • Systematically retrieve data to create a database or directory without written permission.
  • Circumvent, disable, or interfere with security-related features.
  • Harass, abuse, intimidate, or harm another person.
  • Upload or distribute malware or harmful material.
  • Use automated systems (bots/scrapers) without permission.
  • Impersonate another person or misrepresent affiliation.
  • Remove proprietary notices from the Services or Content.
  • Post content that is illegal, defamatory, obscene, hateful, discriminatory, or infringing.
  • Reverse engineer, decompile, or disassemble the Services except as permitted by law.

8. Your Content

The Services allow you to create and store private content (Your Content), such as notes, study materials, and other data. Your Content is visible only to you unless you explicitly share it outside the Services.

You represent that you have rights to Your Content and that it is lawful and does not infringe third-party rights.

We may remove content or suspend accounts if we believe content violates these Terms or applicable law.

9. Content License

By storing Your Content through the Services, you grant us a limited, non-exclusive license to host, store, back up, synchronize, and display Your Content solely for providing the Services to you. This license terminates when you delete Your Content or your account.

10. AI-Powered Features

Certain features use artificial intelligence to generate content based on your inputs and data we provide. You own content you create using these features, subject to these Terms.

  • AI-generated content is provided as is for informational and educational purposes only.
  • You are responsible for reviewing and verifying AI-generated content before relying on it.
  • AI-generated content should not be used as a substitute for professional advice.
  • Under our agreements with AI providers, your inputs are not used to train their AI models.

11. Third-Party Websites and Content

The Services may contain links to or integrate with third-party websites, services, or content. We do not control or endorse third-party sites. Your use of third-party sites is at your own risk.

12. Services Management

We reserve the right, but not the obligation, to monitor the Services for violations of these Terms, take legal action against violators, and restrict or disable access to the Services without notice.

13. Privacy

Our Privacy Policy forms part of these Terms. Please review it to understand how we collect, use, and safeguard your information.

14. Term and Termination

These Terms remain in effect until terminated by you or us. We may terminate or suspend your access immediately if you breach these Terms or if we discontinue the Services.

15. Modifications and Interruptions

We may modify or discontinue all or part of the Services at any time without notice. The Services may be unavailable from time to time due to maintenance or other reasons.

We are not liable for failure or delay due to circumstances beyond our reasonable control.

16. Governing Law

These Terms and disputes arising out of or related to them are governed by the laws of Singapore, without regard to conflict of law rules. Mandatory protections in your jurisdiction remain unaffected.

17. Dispute Resolution

Before filing a formal claim, you agree to try to resolve disputes informally by contacting contact@wozi.app. If unresolved within 30 days, either party may bring a claim in the courts of Singapore, subject to applicable consumer protection laws.

18. Corrections

There may be information on the Services containing typographical errors, inaccuracies, or omissions. We reserve the right to correct and update information on the Services at any time without prior notice.

19. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

OUR TOTAL LIABILITY FOR CLAIMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) S$50.

21. Indemnification

You agree to defend, indemnify, and hold us harmless from losses, damages, liabilities, claims, and expenses arising from your content, your use of the Services, or your breach of these Terms.

22. User Data

We maintain data you transmit for managing Services. Although we perform backups, you are solely responsible for your data and waive claims against us for data loss or corruption to the extent permitted by law.

23. Electronic Communications, Transactions, and Signatures

Visiting the Services, sending emails, and completing online forms constitute electronic communications. You consent to receive electronic communications from us.

24. Miscellaneous

These Terms and any policies posted by us constitute the entire agreement between you and us. Our failure to enforce any right is not a waiver of that right.
